Bylaw Committee Suggestions

    FYI vaguely remember hearing about some issues which occurred some years ago about a married couple creating some controversy. Don’t know exactly what happened or precisely when it took place, but it was so much cause for concern, the additional verbiage was added.

    Taking it a step farther, it could create a voting controversy depending upon how the makeup of the board was. Almost like the voting bloc I have mentioned before.

    You are very welcome. Does that not apply to Senior Living Communities? Grandview Terrace and The Colonnade along with LaLoma Village all have liquor licenses in the name of the business, not the owner, or I should say CEO.

    I believe that is correct. The license is issued to the Recreation Centers of Sun City, Inc. and not to the individuals who's names are on the license application.

    As I stated, I agree that both cannot serve on the same board, but there shouldn't be a restriction on who can run for office. IMHO!

    It's equal rights of Membership!

    I believe you can only purchase alcohol at the bowling alley and at golf, however, many Clubs use the facilities at Sun Dial to hold Club events such as Christmas or Halloween parties and you can BYOB!

    I'm sorry, it makes no sense to me that a "person" has to have a liquor license when it's the establishment who own the license. When the owner changes the license can be purchased (through the proper channels) by the new owner.

    I the document I provided there is a section for BYOB. So I guess my question is if there are no events where RCSC needs a liquor license is it really that important or is this one of those "we just have always done it that way" things?

    The license is issued to the corporation, not to any individuals.

    I get that, but then why do board members have to have a liquor license as well. Guess I am missing something.

    The owner of the liquor license is the RCSC, but the Directors are the RCSC for licensing purposes. When the liquor license is renewed, the current Directors who are Officers sign off for the RCSC as it is a corporation. Josie’s example might work for a small partnership but not for the RCSC as the issuer would check the records to make sure the officers annd Directors are up to date. All Directors must qualify as they might have to step in as officer in the future. I imagine the State would check insurance also, i, e., dram shop coverage amongst others. I would suspect that the Corpirate Office forwards a Certificate of Insurance to the State outlining all coverages and their limits.

    When I spoke with the state regarding the license, it was explained to me that ALL the Directors are considered "officers" of the corporation because it is the Board of Directors who administer the corporation. Has nothing to do with officers of the Board (i.e. President, Vice Presidents, Secretary).

    Interesting. Nice way for the state to make money. Liquor licenses are not cheap. So Directors have a limit to how long they can serve. Term up, another has to apply. Does each new director have to pay? I apologize as I only know how privately owned bars work. Don't answer if you are tired of my questions.

    I don't believe there's any financial obligations placed the individual Directors. The Corporation would pay any required fees.

    ok. just doesn't make sense to pay over and over again even if RCSC pays for it which in turn trickles down to the homeowners. but then who am I to try and find a better way? I only know how it works for a small bar owned by two people.

    In Arizona, liquor licenses are generally good for one year and require annual renewal. However, if a business maintains a clean record with no compliance penalties in the year prior to renewal, the license can be renewed for a two-year period.
