Annual Membership Meeting Quorum & Proxies

    And I understand that he doesn't live in Sun City!?!? So is he one of those who criticize Sun City for not having to pay school taxes? Is he one of us or one of them? Only time will tell.

    I know i am a pain in the ass, but to what end? General proxy or agenda item specific? Do we even know the answers to these questions or are we just doing something, to do something? Honestly, i don't want answers to the questions, i just hope someone has a clue as to what they are doing and why they are doing it?

    Bill I agree that someone should have a clue as to what they are doing. At the present time we see people spouting their interpretation of bylaws and articles in inc, but doing nothing with what they are saying. Posting that crap here over and over will NOT get anything done and will not change the direction that the GM and Board have laid out. Action must be taken. Waiting for new board members and GM to make a difference is like waiting for snow in Phoenix.

    Actually SCR, people are doing things behind the scenes. It appears to be more like a Chinese fire drill than a planned strategy with a defined goal. That's why i told people i don't need an answer, let the board find out at the membership meeting. Even if it falls short this year it will be fuel for next years fire. I understand why people are this frustrated by the crap and want to push back.

    I know you weren't looking for an explanation on "general" or "specific", but for those who are still confused...

    As I understand it, a "general" proxy would allow the person holding the Proxy to vote on every and all motions. A "specific" proxy would only allow the person holding the Proxy to vote on one or perhaps more particular specific motions but not on everything.

    In addition to reading my responses, I would ask that you focus on Article IV, Section 4 of our Bylaws to understand the process to be used at the Meeting to address any Bylaw amendments raised.

    "With respect to amendments to the Bylaws, notice of any proposed amendment shall be posted in RCSC Facilities and/or on the RCSC website (www.suncityaz.org) at least ten (10) days prior to a Membership meeting at which these changes shall be considered.

    1. Do we, as members, have the authority to post a flyer in RCSC Facilities? And how do we do that? No. Fliers cannot be posted by anyone other than RCSC staff. Certain RCSC Clubs have assigned bulletin boards for their use associated with their Club activities.
    2. If using the second option (and/or RCSC website), how do we go about posting on the website? Members cannot post on the RCSC website. If you have a requested Bylaw change, submit it to the Corporate Office in writing with your signature, written name, date and Member number. RCSC will ensure that it is posted per the Bylaws.
    3. How do we get a proposed amendment published in the RCSC (Sun Views)? And how do we do that? RCSC manages the Sun Views publication process. The Sun Views posting requirement only applies to Articles of Incorporation change requests, which need to be posted 30 days prior to the Membership meeting. If you have an Article change, it would have had to have been submitted to RCSC by October 10th for the November Sun Views publication in order to meet the 30 day requirement.
    4. With respect to the proxy voting, if I want to use a proxy because I am in Alaska (at my other home, for example), how can I appear in the Corporate Office to pick it up if I am in Alaska? Can it be mailed to me? The proxy procedures and forms can be mailed.

    And here is the section he is referring to in his email back to me:
    SECTION 4: MEMBERSHIP MEETING RULES AND REGULATIONS

    Robert’s Rules of Order shall govern procedure at all meetings of the Corporation provided they are consistent with the laws of the State of Arizona and the Corporate Documents. A Parliamentarian may be present at the discretion of the President.

    Proposals or matters relating to the conduct of the business affairs of the Corporation, if brought before a Membership meeting, shall be referred to the Board for study. Such matters, being solely within the powers delegated to the Board in accordance with the laws of the State of Arizona and Corporate Documents, will be considered only as a recommendation to the Board.

    If the disposition of these proposals or matters is determined by the Board not to be in the best interest of the Corporation, the Board shall announce its decision and such proposal or matter shall not be considered further. The Members may, by petition signed by at least ten percent (10%) of the total Membership of the Corporation as of the first day of the preceding July, bring the proposal or matter before the Membership for a majority vote of the Members present at a duly called and noticed Annual or Special Membership meeting.

    Hmmmm! Then why must those of us who go to the corporate office to get a proxy form have to sign our life away?

    As you all can see, the Corporation is not very friendly to its Members. I have not found one bylaw or rule that favors the Membership, they only restrict us.

    We paid for the RCSC buildings so why can't we solicit for signatures on RCSC property? What the hell are they afraid of...that we might just actually achieve our goals?

    I guess we need to submit our amendments to the bylaws at least 10 days before the Annual Membership meeting and then just keep our fingers crossed that we achieve a quorum?

    What a bunch of bull! And then they expect that we'll want to volunteer?

    Is there an exit from the board’s Member maze of bylaws, requirements and procedures, or is it designed to keep Members trapped in “their place, where they belong?”

    If for no other reason, you're required to pay your annual assessment fee whether or not you use the facilities and if you don't pay they will put a lien on your property!

    The bylaws might as well be printed in chairman Mao's little red book!?!?!?

    Trapped like a rat in a barrel!

    I’m not sure I would be asking the GM any question with regards to the bylaws. To me, those questions should be answered by the board. The GM is charged with the day to day management of all RCSC facilities.

    I would email proxy questions to every board member. It might be interesting to see how many responses you get and each board members response.

    And yes “eyesopen”, the bylaws have been modified to prevent members from having ANY input and to keep them in place.

    Gee, I thought the GM worked for the board of directors? Seems like the board members are the GM's employees!

    Does it surprise anyone that the FIRST email blast from RCSC regarding all the details of the Annual Membership Meeting was sent on Tuesday, November 30th, with the meeting held only 13 days later?!!!! Not much time to give we, the members, a chance to prepare for it. Oh wait! That's right. We can't prepare for it because the quorum needs to reach 1,250 members before anything from us can be introduced! Oh wait! Even if we get the quorum and we introduce something, the BOD gets to take it and "study" it. What a farce!!

    I know I'm preaching to the choir here but maybe one of our newer members might not be aware of how the BOD has not only tied our hands but put handcuffs on them to keep us from accomplishing anything. Welcome to the "community."
