2023 OFF TO A GREAT START! “Our” RCSC Board Officers!!

    2023 RCSC Board Officers Announced
    FOR IMMEDIATE RELEASE

    The RCSC Board of Directors have selected the following to serve as officers for 2023:

    Committee Chairs, Co-Chairs and Community Liaison appointments for 2023 will be announced later this week.

    An ugly rumor is circulating that one of the current board members has resigned. That would be unfortunate as the word is the new board is working towards a more cohesive relationship between all 9 board members rather than just the majority members making every decision. I guess we will see who shows up at the Monday Member/Board exchange meeting to get more details.

    Bill, this is an interesting development. If true, a resignation of a director, for whatever reason, mandates an immediate replacement.
    Based on the timing of their resignation, the procedure is:

    ** If before January 1st, 2023:
    (ii) If a candidate is elected to a Board position and, prior to the beginning date of the term for which he/she has been elected, declines or is unable to assume the office (“declining candidate”), then the term of the declining candidate(s) shall be filled with the unsuccessful candidate(s) receiving the next highest number of votes, based on the vote totals of the candidates in the last annual Directors’ election. A candidate receiving less than one hundred (100) votes shall not be eligible to fill any vacancies.

    ** If on or after January 1st, 2023:
    The RCSC Board of Directors (Board) will appoint an RCSC Member in good standing to the Board who will finish the year.

    Monday, Jan. 9th, Exchange is going to be a good first look at the 2023 board dynamic and their transparency with owner/members. Hoping for a display of director compatibility, working together!

    This is, of course, all speculation at this point but I think the operative term here is "candidate." So that means to me that that rule would only apply to Steve Collins, John Fast and Jean Totten because they were the only "candidates"!

    Time will tell! The fun begins!

    5. Vacancies occurring on the Board during the year (January 1 through December 31) may be filled by appointment by the Board. A majority vote of the Board (5) is required for said appointment. An appointment ends on December 31 of the year appointed. An appointed term does not enter in the six (6) year limit set forth in the Articles.

    So does the question become more than who quit and turn to when the quit?

    From a usually reliable source, the director who resigned was elected for the 2021-2023 three year term. Therefore, their final year, 2023, one year vacancy should be a member in good standing, appointed by the current 2023 board.

    This is what kinda drives me crazy and the same ambiguity can be found in several other places within the bylaws.

    Is the (5) simply referring to what a majority of 9 would be, similar to the (6) referring to the six year term limit, or is the 5 the absolute minimum number of votes required for appointment?

    The typical rule based on Robert's Rules is the number of those "present and voting". So assuming the board has a quorum of 6, if only 3 members vote and 3 members abstain, then a vote of 2- 1 is a majority!
