ARTICLES OF INCORPORATION December 1990 Amended November 20, 2003 Article VIII 1. The affairs of the Corporation shall be conducted by a Board of Directors and such Officers as the Board may elect or appoint. The Board shall select from its own members a president, one or more vice-presidents, a secretary, and a treasurer. It may select an assistant treasurer who is not required to be a member of the Board. All Officers shall be elected at the first meeting of the Board of Directors in January of each year and shall hold office for a period of one (1) year and until their successors are elected and installed. The number of Directors shall be nine (9). Directors shall be elected by the Members at an annual election in the manner prescribed in the Bylaws. RCSC BYLAWS ARTICLE V - BOARD OF DIRECTORS SECTION 3: INSTALLATION OF DIRECTORS At the first Board Meeting after the Director(s) has/have been newly elected or newly appointed, the President of the Corporation will formally install the new Director(s) and specify when their term of office commences. (check) SECTION 4: LENGTH OF TERMS AND VACANCIES There will be nine (9) elected or appointed members of the Board as Directors. A. The term of office for an elected Director will be up to a three (3), two (2) or one (1) year term. B. All terms count toward the six (6) year limit set forth in the Articles of Incorporation. C. At the annual election, three (3) Directors will be elected for three (3) year terms unless a candidate has only one (1) or two (2) years remaining on the maximum available years elected per the Articles of Incorporation. D. A candidate must receive at least one hundred (100) votes to be eligible to fill a vacancy. E. If there are not sufficient candidates to fill vacancies, the succeeding Board will appoint them after January 1. 1. A majority vote of the Board five (5) is required for said appointment. An appointment ends on December 31 of the year appointed. 2. An appointed term does not enter into the six (6) year limit set forth in the Articles. There doesn’t appear to be any urgency to fulfill the two director vacancies. Only timing reference is directors should be appointed after January 1st and installed at the first board meeting after having been appointed. Ideally, appointments will be made in time for the January 29th, 2026 board meeting. I agree the bylaws have to be flexible to allow time for the Board to appoint members in a sad situation like this where no one volunteers to run for the board slots available.

I just read the press release seeking additional candidates to seek nomination to the board. How absolutely nondescript is this request? It could have had an impact statement attached such as how much impact one person could have by supporting the community. Or how much influence one person could have by being involved with the committees and helping guide the process of governance. Or have the choices already been made, as in departing directors to be recycled into the fray? No need for descriptors if you already know who you are placing in those positions. Just an observation, as I stated earlier in the year that there was a clear idea that just placing the old board in place could happen.
