    What a croc! As a member I contend the following should be the case...
    1. serving the Board/Corporation doesn't preclude a board member from doing so in concert with what the members want!
    2. Total loyalty is BS -- especially when the Corp is doing something illegal or in conflict with the AIs and BLs. Further, changing the documents to make it legal goes against the intent of the original documents and the very reason for the existence of the Corporation.
    3. Members are elected to the board. And I wish I had a dollar for every time a Board member said "if you don't like the way things are run get elected to the board and change them" -- and then the board turned the Board into an autocracy and modified the documents to ensure that members have little/no meaningful voice.
    4. The AIs essentially say the Corporation exists to benefit the members and that in conflicts the will of the members shall prevail -- so contending that the board exists only to benefit the Corporation is completely misguided.
    5. If "member" doesn't appear in the job descriptions (which, BTW, the board wrote for themselves), maybe its the job description that's wrong!!
    I realize the Corporation necessarily exists for many legal reasons. But it also exists because every Assessment and PIF dollar they spend has come from a member! So to consider members should have no say in how the Corporation is managed and what benefits it provides borders on malfeasance, both morally and legally in my book.

    The Board and new GM should look for ways to be inclusive of the membership, otherwise the board's stonewalling will eventually end in a rebellion that could possibly get nasty and destructive. The Board is not supported by a majority of the membership -- the reality is they're elected by less than 5% of the membership -- typically less than the member quorum. They would do well not to wake the sleeping bear.

    Who owns a nonprofit?
    No one.

    A major misconception about nonprofit organizations concerns ownership of a nonprofit. No one person or group of people can own a nonprofit organization.

    Ownership is the major difference between a for-profit business and a nonprofit organization. For-profit businesses can be privately owned and can distribute earnings to employees or shareholders. But nonprofit organizations do not have private owners and they do not issue stock or pay dividends. And while nonprofit organizations can earn a surplus, that revenue is usually reinvested in the nonprofit organization — possibly to benefit or expand programs according to the charitable mission. But that income cannot be distributed to persons.


    Please note that each state has its own rules and regulations regarding nonprofit management and you should seek counsel in your own state on this matter.

    If there is no owner, who manages and controls a nonprofit?
    Once incorporated, the newly created nonprofit organization is a separate legal entity from its incorporators, directors, officers, and employees. The nonprofit corporation generally owns assets of the business and is entitled to receive the revenue from its operation.

    Many nonprofits are managed by boards, others may be managed by voting members, some are managed by a combination of those. This is a state-specific concept, and you should check with your state on management issues. Many times, when a nonprofit first begins operating, the board members, along with the founder(s), may perform many of the tasks of the organization. As the nonprofit grows, the board may begin hiring staff members to develop and lead programs as the board and/or voting members continue to oversee the organization. (Gee, wouldn't that be nice? If only we were allowed to do so!)

    But none of these individuals or groups have any ownership rights in the organization. And while they don’t own the nonprofit, they do have significant legal and ethical duties that cannot be delegated to others.

    To whom is the the nonprofit accountable?
    The organization is accountable to many constituencies.
    The General Public. (that would be us! Members of the RCSC) Most nonprofits are created to provide a charitable purpose to the public good, whether as charities, educational programs, churches or religious groups, or scientific or artistic organizations.
    Of course, there are other types of organizations that must be considered (professional associations, trade groups, others).

    I still don't believe the board understands who their fiduciary responsibility belongs to! Without us, the "Members" the RCSC might as well close the doors because they will have nobody to provide the facilities too!

    Great points IC and FYI. The world of non-profits is wholly different than what most people are familiar with. Making it even more challenging is the fact we have no governance similar to where people came from. No city council, no mayor, no city services on the scale of city's or towns they had grown up in/with. Easy to see why people are confused and more comfortable believing everything will be fine, even if they don't pay attention.

    What we know now is, Sun City has evolved in ways that made us worse, not better. Historically we know people moving here took ownership of the community. Too often the RCSC ignored the bigger picture community and felt compelled to simply look within. I know the arguments, their charge is simply the amenities. The reality is when those of us who purchased homes in Sun City, we needed to embrace the entirety of what made Sun City unique. The RCSC is just a piece of it.

    It's why when i ran for the board i begged both management and my fellow board members to educate and communicate on a whole different level. Instead they became even more insular. The gm understood to be able to control the process she needed the board to become compliant. Sadly they ate it up and let her have it all. Maybe Bill Cook will be more open to travel back to our roots. We'll see.

    You really shouldn’t miss attending one of the RCSC Candidate Forums. Two days (Monday or Wednesday), two times (afternoon or evening) and all seven candidates present to question about their candidacy for the Board.

    I created a small committee (Election Committee) comprised of folks here on FB, folks on Talk of Sun City, and folks who spoke up at meetings in Karen’s favor. We crafted about seven pages of questions to ask the candidates. We have many questions that require just a Yes or No answer and just as many questions that will require more of their time to answer. Director Hoffer was quick to point out in an answering email to me that “We do limit you to one question and would ask that no one monopolize the questions. If after everyone that asks their questions, you have a second question, please ask it at that time. What we are not wanting is someone to be asking multiple questions. That is what the Social Half-Hour is for. You can ask any question you want of the candidates during that time.”

    If you are attending and don’t have a question to ask, please let me know, and I’ll be happy to have you choose one from our lists. Also, go back and read through this Thread. There were several mentions of questions that Mr. Hoffer is most likely to reject. Let's be creative in asking our questions!

    Really torn between attending the Forum in person, streaming it or just watching once it's over. It has the potential of being quite disorderly with a 2 hour time frame and several strong personalities trying to vie for all the time. This would be the first I'd miss in many years but the atmosphere has changed over the past year. This is meant to be informative so please be respectful to all.

    Suncityaz.org does not give instructions that I could find to access the candidate forum.

    RCSC just did an email blast. Besides telling us that masks need to be worn today at the forum, it gives you the link to connect to YouTube.

    It is unfortunate if the only time questions can be addressed is before the meeting because that leaves the answers off the record. On the other hand we all know that turning the meeting over to the cranks that show up (I include myself here, even when I don't show up) can lead to a free-for-all in which members want to debate with candidates rather than just asking questions and allowing answers without having to rebut them.

    We members are allowed to chat or ask questions with the candidates at the 1/2 hour social and ALSO when the Forum begins. What's unfortunate is that Mr. Hoffer likes to take control of the microphone which will eat up precious minutes!

    A half hour is not hardly enough time to ask questions of ALL candidates.

    ALSO when the Forum begins. For two hours. Members in the audience can ask two questions each for the duration of the meeting which is slated to end at 4.

    Asking questions regarding bylaws and articles of incorporation are totally useless as demonstrated by our current boards reaction to questions by either silence or redirecting the question to the GMAnd staff.

    I disagree - these are candidates - their inability or refusal to answer a direct blunt question helps you determine who (not!) to vote for!

    So the first candidate forum is in the books.

    So far I have 2 possible candidates.

    o ne of the things that turned me off was the question on transparency. If I’m not mistaken, they all said they agreed that transparency was o e of their goals. That has been one of the goals of every board candidate that I can remember and so far I have not seen transparency.

    I did pose a question on the YouTube channel (actually 5) but the question I asked that was presented to the candidates was not asked to the candidates the way I sent the question. Hoffer left off the part where I asked for a yes or no answer.

    based on the live viewing it seems to me that 2 hours is not enough time to get member questions submitted and answered. Hoffer definitely cut down the the amount of time that candidates would have to answer questions.
    The lightening round is a waste of time, questions from those attending and YouTube participants are more important and revealing.

    I don’t think we have a good crop of candidates. One is a retread who I never felt was a good board member when she served before. Like I said, I have 2 that I would vote for - so far.

    I’ll wait for the second forum before finalizing my voting preferences.
