Nine Board Members

    I mentioned in another, now removed, post, their is an imbalance on the board in the form of only eight (8) voting members. Since the first of the year, one member has been absent at all of the board meetings. The member in question is Ron Smith. He has had a rough few years with his personal life and I wish him no malice or harm. His is an amiable man, no arguments out of him on anything, and is soft spoken.

    My question has to do with the Restated Articles of Incorporation, and how it is spelled out there shall be nine (9) members, and "A. By a vote of two-thirds (2/3) of the members of the Board of Directors after a member of the Board is absent from three (3) or more consecutive regular meetings of the Board or who, in the opinion of such two-thirds (2/3) of the Board members, is unwilling or incapable of performing his or her share of the duties and responsibilities of a Director." How about some of these votes which may have been close, could having had the requisite number of Directors changed the outcome? With this unbalance of Directors, how is the business of the RCSC actually being completed to the fiduciary responsibility of the RCSC?

    This month would make it five months since actually having the requisite amount of directors, and there are, once again, motions appearing before the board which should have some unbiased discussion with a full board of directors represented.

    I feel the current board owes the RCSC and its members the duty of following the Restated Articles of Incorporation, Article IX, and seeking a qualified candidate to take on the accountability needed to have a balanced, effective, and workable board.

    My well wishes do go out to Ron Smith, he has had some setbacks over his term. Best of luck to you Ron.

    While this is a concern I don't think there have been 3 consecutive meetings missed. Accountability comes into play here both for the individual and the duties of the BOD.

    As I go back through the notes of the meetings, it shows Ron hasn't been to a BOD meeting since December of 2017. It states Ron Smith was absent for all of the BOD meetings for 2018. With some of the agenda items being presented, I feel there should be a balanced board to represent the RCSC and the members. Right now, I feel it is too easy to push for a certain ideology, without any recriminations, as the board is so unbalanced. Look at how Director Weiland was spoken to during an active board meeting, is this a sign of a board truly participating in the processes as written?

    He was late in arrival but was at the March 2018 meeting. The BOD videos are still available online if you do a YouTube search.

    You are so right, it does state he arrived late, after the meeting had started. My bad.

    Let's be realistic here; we are talking about the board meetings when in reality the big picture includes board/member exchanges, committee meetings, work sessions and liaison meetings. The board knows exactly how many this board member has missed and i have no interest in speculating. I think it is safe to say the trend has followed the board member since last year and if so, they need take action. There's nothing wrong with cutting some slack, but at some point C is right, they have an obligation to act. Simple as that.

    For those who missed it, the RCSC sent out an email letting members know Ron Smith has resigned for personal reasons. Kudos to all parties for coming to a sound solution. Asking/expecting him to stay on when he wasn't able to fulfill his duties as a board of director did no one any good. Ron worked hard to get elected and has played an important role over the years of volunteering in Sun City. A note of thanks is well earned and we all hope is able to move on to a better place since the loss of his wife.
