And it doesn't appear that they appointed anybody to fill the empty Director's seat! No swearing in ceremony!

Could the delay indicate a consideration of someone who could be a change agent? The new director be someone that is not just a placeholder on the board of nine? Would it be possible for the vacancy be filled by someone who has the membership their focus? Just thinking out loud. This could be an opportunity to start with the new compass the board needs.

This appears to be the perfect point to suggest they do away with the idea members can only speak to motions at board meetings. It was a bad idea when it was first hatched, it still is to this day.

So very true. If the goal is to increase member participation, why stifle comments or collaboration?

The Board could suspend the rules and have member comments or they could just say, let’s have member comments and watch Tom’s head explode because some process was not followed.

Every once in a while you have to say. WTF. Tom Cruise “Risky Business”

They could and they should, but will they? And more importantly, Tom's head will not explode, he may well point out according to Robert's Rules of Order there is a correct procedure to follow to allow it. See, the funny thing is Dave, doing it right matters, helps instill confidence that the board actually does know what they are doing.

Of course, this is just one guy's opinion.

And what's the problem with following or not following the process when they haven't followed it all along?

They still use a consent agenda when there is no authorization to do so in either the Bylaws or as a special rule of order, which is in fact a requirement?

Would it hurt to do things properly?

I would suggest what I always do when there is going to be an appointment of either a new Director or committee member:

    1. Get the word out that there is an opening. Do it through mass emails, articles in the Independent, and other timely RCSC media, including the radio station.
    2. Set a timeline and process for anyone interested to apply. Designate a deadline for applications.
    3. Narrow the field to two to three candidates. Let the other candidates know they have not been selected for an interview.
    4. Interview the finalists.
    5. Select the one to serve. Let the person not selected know before announcement is released.
    6. Announce it to the Membership.

I think the Board should be voting on the Consent Agenda. That would include allowing Member comments on it or any amendments to it.

    Janet,
It would appear to me, a replacement for the board opening has been decided. It’s my understanding that sbb, one of the posters here on TOSC has been solicited by the board to apply. I don’t know this person, but based upon what I have read here, sbb would be an excellent choice. Extremely smart, well written, capable of explaining ideas and concise on content, and most of all, not a retread. sbb apparently has been working with the LRP so is versed in RCSC protocol and understands how much change and direction is needed from the board. His voice will be one of nine, but I have great hopes that his voice will be strong and clear as to what needs to occur right this ship. We need some strong voices in the boardroom to speak up and I feel sbb can do it. It’s now up to sbb to say “yes”.

Why do you think that is the case CM? I've seen or heard nothing to suggest that is the case. SBB would be a great choice BTW, but i'm hard pressed to believe that decision has been made.

True statement Bill. With the offer made during the last meeting, I fell back to former boards and how the choice was made. They would make overtures to a particular person that was desired, then that person became the new board member. The choice had been made, was nuanced during a meeting, then became the outcome.
That was then, this is now, and this board has the choice to do whatever works best for them. I hope that sbb is not harmed in anyway by what I wrote. I truly believe sbb is the best choice for the board opening and would be an excellent addition overall. My apologies for remembering how things were done in the past, have witnessed the old way of doing things too often and it colored my opinion.

sbb my deepest apologies for calling you “him” and not “her”. I know nothing about you but should not have made a male reference. I also apologize for causing you any harm when suggesting you were already the designated appointee for the vacancy on the board. My frame of reference is from a time when someone said they were there to speak to someone and the next thing, they were the next director.
I truly believe you are the best person to fill this position. As I have already stated your strengths, it’s also clear you are a person of great honor and integrity, much needed qualities to persevere and weather the storm that is brewing at the RCSC. I hope my apologies are welcome in the spirit in which they are offered. Thank you for your consideration.

I am not sure where the SBB came from but if it is her I am cautiously optimistic this board is serious about using data to guide decisions.

No apologies needed, how or why should you know? One of the oddities of the online community is to make assumptions of gender. It was a mistake i made back around 2000 when i first started posting online and was quickly cured of ever assuming whether a poster was male or female. Besides, knowing SBB, i'm pretty sure she would laugh it off with a smile. Some of the other slights of late, not so much.
