    Yesterday was the first of two sessions held for potential candidates for the RCSC Board of Directors. If my link doesn't work, the video is now on the RCSC YouTube channel.

    The next session will be Tuesday, September 24th from 3 - 5 pm in the Lakeview Recreation Center, Social Hall 1 and 2.

    Here are the dates that are important to those who may be considering running for the Board this year followed by the requirements to be a Candidate. Even though this communication doesn't mention it, you are NOT a candidate for the Board UNTIL it is ANNOUNCED by the RCSC. Also NOTE that the REQUIREMENTS listed are all Required. The ORIENTATION IS Tuesday, October 29th.

    ** Candidate Forums will run for 2 hours with a 30-minute social after each session
    SECTION 4: CANDIDATE REQUIREMENTS
    An eligible candidate for election to the Board shall satisfy all the following requirements and a candidate for appointment to the Board shall satisfy all except Section G. below:
    Must be at least fifty-five (55) years of age;
    Must be Member in good standing;
    Must not reside with or be related by marriage or birth to any other Board of Director, Board candidate, or Senior Management;
    Must reside in Sun City, Arizona and be available at least ten (10) months of the year;
    Must meet the requirement to hold an Arizona liquor license;
    Must be eligible and available to serve a three (3) year term; and
    Must attend Board Candidate Orientation(s).

    Were there any interested candidates attending the informational session? I know that has been a concern of yours, Jean.

    Janet, heard Darla Akins attended today and announced she is seeking candidacy. She mentioned her previous one appointed year and one elected three year term as director on the board, four years total. Also that she ran again but was defeated. She hopes to be a candidate this year.

    Three men were also there to get more information about RCSC and the candidacy, election process.

    That means if she wins a 3 year seat on the Board she can only serve for 2 years, because the Articles of Incorporation only allows a Director to serve on the Board for a total of 6 years.

    Only an opinion:
    Board outnumbered candidates 2 to 1
    Board espoused unity among one another
    Karen is hanging up her shingle - Thank you for your service
    Kat is finishing "first elected term" - translation she may run again
    Tom Foster seems to be fully engaged and my guess is he will run again
    Anita Borski complimented the unanimity of this Board Steve Collins is out campaigning for Anita Borski.
    Connie Jo's career experience drove her desire to serve - Thank you!
    There is a strong undercurrent to serve the poor.
    There is also a very strong undertow that the actions of the Board do not match their words.

    I hope readers will find this a useful objective observation.

    There is a distinction between elected and appointed director years of service when determining director term limits.

    RCSC corporate documents only factor elected years of director service in term limits.

    There is no reference to appointed service counting in the maximum six year term limit.

    Darla Akins has only been elected to one director three-year term.

    December 1990
    Amended November 20, 2003
    Article VIII

    2. Three (3) Directors in a manner set forth in the Corporate Bylaws, shall be elected each year to serve for a term of three (3) years and shall serve until their successors are installed. A Member/Director may be elected to a maximum of two (2) three-year terms, six (6) years total, on the Board of Directors.(Approved by the membership on Nov. 20, 2003)

    ARTICLE V – BOARD OF DIRECTORS
    SECTION 4: LENGTH OF TERMS AND VACANCIES

    The term of office for an elected Board of Director shall be three (3) years. At the annual election, three (3) Board of Directors shall be elected for three (3) year terms. One, two or three-year elected terms enter into the six (6) year limit set forth in the Articles.

    Glad to see Rick Gray is interested. Quite a bit of experience with SCHOA, CAN, State House and State Senate.

    I believe there is no difference.

    An appointment can be done by a single person. When a Board selects a person to fill a term they are being "elected" by the Board.

    If the board is doing the "appointing" then they do it by voting, i.e., by electing that person. Appointing by a single person is not an election but a decision of the board is.

    Besides, I would argue that it doesn't really matter how they got on the Board, the Articles of Incorporation still only allows a Director to serve for 6 years.

    Either that allowance must be eliminated in the Bylaws or it has to be put into the Articles of Incorporation!

    That's my story and I'm sticking to it! ;)

    ARTICLE V – BOARD OF DIRECTORS

    SECTION 4: LENGTH OF TERMS AND VACANCIES
    5. Vacancies occurring on the Board during the year (January 1 through December 31) may be filled by appointment by the Board. A majority vote of the Board (5) is required for said appointment. An appointment ends on December 31 of the year appointed. An appointed term does not enter in the six (6) year limit set forth in the Articles.

    We’ll find out for sure if/when Darla is officially announced as a candidate by the RCSC.

    Tom, this thread agrees with us, it’s “ultimately a bylaws interpretation issue.” No surprise! :)

    I listened to the candidate meeting. One person had very specific things to say, then when addressed by the BOD backtracked very quickly. A true politician. Ms. Borsky had some interesting things to say regarding the Foundation. I will address those privately with her.

    Darla gets it. Yes there are millionaires here, but the majority are middle/lower middle/poverty level residents. What RCSC is doing with their spend, spend, spend philosophy is pricing the majority class right out of the market here. If they do what they want it will increase PIF, CIF, Assessment and other fees. How many millionaires will want to buy in Phase 1, or any phase for that matter unless it's on a lake. Even that will not make sense eventually as money is being spent on future "maybe's" instead of current repair/beautification.

    I took a friend to Banner Olive Branch the other day to see the volunteer attorney. I have not been there since it was owned by Sun Health. The grocery section alone serves approximately 300 people on average a day. The people were amazingly helpful. I was so impressed I submitted an application to volunteer. So different from the RCSC employee who told my friend when he went for help re his S/O death to "get an attorney".

    HH - Thanks for looking out for your friend.

    Fascinating discussion on the meaning of elected term in reference to the 6 year term limit. Clear as mud. Your guess is as good as mine.

    My individual preference would be for new blood as opposed to folks that have been there.

    I had hoped to distribute the material from Board Source about What makes a Good Director that Director Foster provided at the candidate forum but it was copyright protected. This material is epic in its wisdom and I wish I had discovered it during my tenure. If you type in What Makes a Good Director Board Source I think it will get you close to the site. Two thumbs up from me.

    I have found that document in several locations on the web. It has all the exact 12 Principles and text except it wasn't on the Board Source letterhead?

    Thanks Tom, What tripped me up was when I went to do a good deed (post it here) it had stated it could not be reproduced without permission. It had only 6 points.

    OK continuing watching the video - Karen said the right words!!!!!!! The decisions the board makes always must align with the mission, vision and value statement. The others not so much yet.

    It is clear this Board puts a premium on promoting its internal unity and playing it close to the vest. The candidates did a good job of trying to fit in.

    Overall, I found the meeting disappointing in the following way:

    No more than 30 seconds was spent discussing the mission, vision and values. More than 20 minutes were spent trying to discredit anyone who expresses a contrary opinion. They spent an inordinate amount of time in the muck they created by not being transparent. Sorry, but I did not see any of the characteristics of being a good board member exhibited. Just my opinion and I am sticking to it.
